1. About These Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and Studio Mikado, a company registered in Belgium ("Studio Mikado", "we", "us", "our"), governing your access to and use of the Mikabot platform, including the web application, dashboard, API, and embeddable chatbot widget (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Mikabot is an AI-powered chatbot platform for e-commerce. It enables online stores to embed an intelligent chatbot widget on their website that provides automated customer support, product recommendations, and sales assistance based on the store's product catalog.

The Service relies on third-party artificial intelligence models (including OpenAI) to generate responses. AI-generated content is provided on an informational basis and may not always be accurate, complete, or up to date. You acknowledge that AI outputs may contain errors and that you are solely responsible for reviewing and validating any information or recommendations provided by the chatbot before acting on them or presenting them to your customers.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to keep your account information up to date.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

4. Subscription Plans and Payment

Mikabot offers a free tier and paid subscription plans. Details of each plan, including pricing, features, and usage limits, are described on our Pricing page and form part of these Terms.

Paid subscriptions are billed monthly through our payment provider, Mollie. By subscribing to a paid plan, you authorize us to charge the applicable fees to your chosen payment method.

You may upgrade your plan at any time, with the new fees applied on a prorated basis. Downgrades take effect at the end of the current billing cycle. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you will retain access until then.

If you exceed the usage limits of your plan (e.g. message limits), the chatbot widget may be temporarily disabled until your limits reset or you upgrade your plan.

For consumers within the European Union: you have the right to withdraw from a paid subscription within 14 days of purchase in accordance with the EU Consumer Rights Directive (2011/83/EU), unless you have expressly consented to the immediate provision of the Service and acknowledged the loss of your right of withdrawal. Refunds are provided in accordance with applicable Belgian and EU law.

5. Early-Stage Product

Mikabot is an actively developed product that has not yet reached its first major release. While we strive to provide a reliable and high-quality service, you acknowledge that:

  • Features, functionality, and interfaces may change, be added, or be removed without prior notice.
  • The Service may experience periods of unavailability due to maintenance, updates, or unforeseen technical issues.
  • We do not guarantee specific uptime levels or service-level commitments at this stage.

We will make reasonable efforts to communicate significant changes in advance where practicable.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you agree not to:

  • Use the Service to distribute spam, malware, or any harmful content.
  • Use the chatbot to deceive, mislead, or defraud end users or customers.
  • Attempt to circumvent usage limits, security measures, or access controls.
  • Use the Service for any purpose that violates applicable laws or regulations, including but not limited to consumer protection, data protection, and competition law.
  • Transmit content that infringes the intellectual property or other rights of third parties.
  • Use the Service in a way that could damage, disable, or impair its operation or interfere with other users' use of the Service.
  • Reverse engineer, decompile, or disassemble the Service, except to the extent permitted by applicable law.

We reserve the right to suspend or terminate your account if we reasonably determine that you have violated these acceptable use provisions.

7. Your Content and Data

You retain ownership of all content you upload, submit, or make available through the Service, including product catalogs, store configurations, custom instructions, and branding materials ("Your Content").

By using the Service, you grant Studio Mikado a limited, non-exclusive, worldwide licence to use, process, store, and display Your Content solely for the purpose of providing and improving the Service. This licence terminates when you delete Your Content or close your account.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent and warrant that you have all necessary rights and permissions to use and share Your Content through the Service.

8. Intellectual Property

The Service, including its software, design, branding, documentation, and all related intellectual property rights, is and remains the exclusive property of Studio Mikado or its licensors.

These Terms do not grant you any rights to use Studio Mikado's or Mikabot's trademarks, logos, or branding without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription.

9. Data Protection and Privacy

We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and applicable Belgian data protection legislation. Our Privacy Policy describes in detail how we collect, use, store, and protect personal data.

As a User of the Service, you may act as a data controller with respect to personal data of your own end users (website visitors who interact with the chatbot). You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including providing appropriate privacy notices to your end users and obtaining any necessary consents.

10. Limitation of Liability

To the maximum extent permitted by applicable Belgian and EU law:

  • The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated responses will be accurate, complete, or suitable for any particular purpose.
  • Studio Mikado's total aggregate liability to you for any and all claims arising out of or in connection with these Terms or the Service shall not exceed the total amount of fees paid by you to Studio Mikado during the twelve (12) months preceding the event giving rise to the claim, or one hundred euros (EUR 100), whichever is greater.
  • Studio Mikado shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.

Nothing in these Terms shall exclude or limit liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under applicable Belgian or EU law.

11. Indemnification

You agree to indemnify and hold harmless Studio Mikado, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any applicable law or the rights of any third party.

12. Suspension and Termination

You may close your account and stop using the Service at any time by contacting us or using the account settings in the dashboard.

We may suspend or terminate your access to the Service, in whole or in part, if:

  • You breach these Terms or any applicable law.
  • Your use of the Service poses a security risk or may harm the Service or other users.
  • We are required to do so by law or a competent authority.
  • Your account has been inactive for an extended period.

Where possible and permitted by law, we will provide you with reasonable notice before suspension or termination and an opportunity to remedy the breach. Upon termination, your right to use the Service ceases immediately. We will retain or delete your data in accordance with our Privacy Policy and applicable law.

13. Changes to the Service and These Terms

We reserve the right to modify, update, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

We may revise these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and close your account.

14. Force Majeure

Studio Mikado shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, power outages, internet disruptions, acts of government, cyberattacks, or failures of third-party service providers (including AI model providers).

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium, unless applicable EU consumer protection law grants you the right to bring proceedings in the courts of your place of residence.

For consumers within the European Union: you may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific terms displayed at the time of subscription, constitute the entire agreement between you and Studio Mikado regarding the Service and supersede all prior agreements, understandings, or representations.
